1. Agreement to these Terms

These Terms of Service (the "Terms") govern access to and use of the Ignotix websites, hosted services, construction-calculation studios, project records, takeoff tools, estimating and proposal tools, exports, AI-assisted transcription features, feedback and learning systems, and related services (collectively, the "Service").

By creating an account, accessing the Service, purchasing access, or otherwise using the Service, you agree to these Terms and the Ignotix Privacy Policy. If you use the Service for a company, organization, contractor, employer, or other entity, you represent that you are authorized to bind that entity, and "you" includes that entity.

Do not use the Service if you do not agree to these Terms.

2. Eligibility and authority

You must be at least 18 years old and legally capable of entering into a binding contract. The Service is intended for business, trade, educational, and project-planning use. It is not directed to children.

You are responsible for ensuring that your use of the Service is permitted where you are located and is consistent with any professional, contractor, licensing, employment, or organizational obligations that apply to you.

3. The Service and release classifications

Ignotix provides specialized construction workspaces that may include measurement, geometry, layout, material quantity, takeoff, estimating, proposal, project-record, export, closeout, individual-learning, and controlled aggregate-learning functions.

Features and studios are offered only within their declared production-reference claim boundaries. A studio boundary is not a professional approval, certification, warranty, engineering determination, code approval, inspection result, manufacturer approval, supplier approval or determination that an output is suitable for a particular project without user verification.

We may add, modify, suspend, classify, reclassify, deprecate, or discontinue features or studios. When reasonably practicable, we will provide notice of material changes that substantially reduce paid functionality.

4. Reference calculations and user verification responsibility

Ignotix produces calculations from information supplied or selected by the user and from assumptions identified within the applicable studio, product profile, engine version, project record, or output.

Ignotix is responsible for operating its declared software logic in accordance with the applicable versioned engine contract. You are solely responsible for determining whether the inputs, drawing scale, dimensions, assumptions, products, manufacturer instructions, site conditions, field conditions, quantities, outputs, and intended use correspond to your actual project.

Before ordering, cutting, fabrication, installation, construction, bidding, contracting, or other reliance, you must independently verify all project-specific information and outputs through your own field measurements, qualified personnel, suppliers, manufacturers, design professionals, inspectors, authorities having jurisdiction, or other appropriate sources.

Ignotix does not inspect any site; independently corroborate user-supplied information; provide engineering, architectural, surveying, inspection, permitting, code-enforcement, legal, tax, accounting, or safety services; determine code compliance, structural adequacy, safety, constructability, or approval; or replace any professional or authority whose review may be required.

The requirement for user verification concerns applicability to the particular project. It does not state that the declared mathematical engine is unsound. Known software or formula defects remain Ignotix product issues and may be addressed through controlled revision, testing, and release procedures.

5. No emergency, life-safety, or autonomous construction use

Do not use the Service as the sole basis for emergency response, life-safety decisions, structural design, electrical protection, gas safety, fire protection, hazardous-material decisions, medical facilities, critical infrastructure, or any use where an error could reasonably result in death, personal injury, environmental harm, or substantial property damage.

Do not connect the Service to machinery, fabrication equipment, purchasing systems, construction controls, or autonomous workflows in a way that causes physical action or irreversible commitment without appropriate human review and safeguards.

6. Accounts and security

You must provide accurate account information and maintain the confidentiality of your credentials. You are responsible for activity conducted through your account and organization memberships, except to the extent caused by our breach of these Terms or applicable law.

You must promptly notify us at ignotixcad@outlook.com if you suspect unauthorized access, credential compromise, or misuse. We may require email verification, multi-step verification, password resets, session termination, or other reasonable security measures.

You may not share credentials in a manner that defeats access controls, subscription limits, organization roles, or entitlements.

7. Organizations, roles, and project access

The Service may allow users to create organizations and invite owners, administrators, editors, viewers, billing users, or other roles. Organization owners and administrators are responsible for assigning appropriate access and removing access when it is no longer authorized.

A user with access to an organization or project may be able to view, edit, export, or otherwise act on information according to that user's role. You are responsible for obtaining any required permission before uploading, sharing, or processing another person's or entity's information.

8. User content and project data

"User Content" includes project records, customer information, plans, drawings, measurements, photos, files, takeoff items, estimates, proposals, closeout observations, feedback, product information, and other material submitted to the Service.

You retain ownership of your User Content. You grant Ignotix a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, format, analyze, and otherwise process User Content only as reasonably necessary to provide, secure, support, maintain, improve, and comply with legal obligations relating to the Service.

You represent that you have all rights and permissions needed to submit and process User Content. You may not submit material that infringes intellectual property, violates privacy or confidentiality obligations, contains unlawful content, or is subject to restrictions that prohibit processing by the Service or its service providers.

9. Uploaded files and malware screening

Hosted uploads may be restricted by file type, size, signature, quota, or purpose. Uploaded files may be placed in private quarantine and may remain unavailable until they pass security scanning. We may reject, isolate, delete, or disable access to files that are infected, unsafe, malformed, abusive, or inconsistent with these Terms.

A successful security scan does not guarantee that a file is harmless. You remain responsible for maintaining your own backups and appropriate endpoint security.

10. AI-assisted features

Some features may transmit a user-selected image, drawing page, or crop to an approved third-party AI provider for visible-text or annotation transcription. AI output may be incomplete, inaccurate, or misleading. AI output is not automatically treated as an approved project measurement or calculation input and must be reviewed by the user before use.

Provider credentials and model selection are controlled by the server. We may change, suspend, or disable an AI provider or model. You must not submit confidential, export-controlled, regulated, or personal information to an AI feature unless you have authority to do so and the feature is appropriate for that information.

11. Closeout, individual learning, and aggregate learning

The Service may allow you to compare calculated values with actual project outcomes. Individual-learning records may be used to provide private, user-specific reference profiles. Individual learning does not automatically alter deterministic formulas.

Where you affirmatively consent, a de-identified or pseudonymized observation may be eligible for controlled aggregate analysis. A single submission never directly changes a global formula. Aggregate evidence may support a candidate revision only after review, normalization, scrutiny, reproduction, testing, versioning, and release approval.

You may withdraw future aggregate-learning consent through available controls or by contacting us. Withdrawal does not require us to reverse a revision already derived from an aggregate that no longer reasonably identifies your record, unless required by law.

12. Feedback

If you submit ideas, suggestions, discrepancy reports, or other feedback, you grant Ignotix a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, publish, and incorporate that feedback without restriction or compensation. This does not transfer ownership of your underlying User Content or confidential project files.

13. Acceptable use

You may not:

  1. violate law, regulation, court order, contract, intellectual-property right, privacy right, or confidentiality obligation;
  2. access or use another person's account, organization, project, or data without authorization;
  3. bypass authentication, entitlements, rate limits, release classifications, engine controls, file quarantine, or other safeguards;
  4. introduce malware, exploit code, destructive content, or harmful automation;
  5. probe, scan, or test vulnerabilities except under a written authorization from Ignotix;
  6. scrape, harvest, copy, or bulk extract the Service or data except through authorized exports;
  7. reverse engineer or attempt to extract non-public source code, model prompts, credentials, or protected engine logic except where a restriction is prohibited by law;
  8. use the Service to train a competing model or product using non-public Ignotix materials without written permission;
  9. falsely state that an Ignotix output is engineered, certified, inspected, code-approved, permit-approved, or guaranteed;
  10. use the Service in a manner that creates unreasonable load, interferes with other users, or threatens security or availability; or
  11. resell, sublicense, rent, or commercially provide account access unless an applicable plan expressly allows it.

14. Intellectual property

The Service, including software, interfaces, studio designs, calculation architectures, documentation, trademarks, logos, and non-public materials, is owned by Ignotix or its licensors and is protected by intellectual-property laws.

Subject to these Terms and any applicable plan, Ignotix grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal project purposes.

No rights are granted except as expressly stated.

15. Exports and generated documents

The Service may generate proposals, estimates, reports, CSV files, JSON files, PDFs, SVG files, DXF files, or other exports. Export availability and classification may vary by studio.

You are responsible for reviewing every export, confirming units and coordinate systems, preserving version and hash information where relevant, and ensuring compatibility with downstream software or equipment. An export does not become fabrication-ready, construction-ready, professionally approved, or code-compliant merely because it is machine-readable.

16. Fees, subscriptions, and taxes

Some features may require payment. Prices, billing intervals, included studios, usage limits, duration, and renewal terms will be shown at checkout or in the applicable order description.

Subscription plans renew automatically for successive periods unless canceled before the next renewal date. You authorize the payment provider to charge the applicable payment method for recurring fees, taxes, and authorized adjustments. You are responsible for applicable taxes except taxes based on Ignotix's net income.

For selected-studio monthly subscriptions, the software price may be calculated progressively from the studios selected, subject to the complete-suite monthly ceiling disclosed at checkout. The server-calculated subscription price, included studios, and effective billing period control; client-supplied amounts do not.

A limited founding annual complete-suite offer may be made available during the initial launch period. Eligibility, opening and closing boundary, continuous-subscription condition, renewal treatment, cancellation and refund terms will be disclosed before enrollment. Customers admitted to a grandfathered founding cohort retain the stated founding rate only while the qualifying subscription remains continuously active, unless a different rule is expressly disclosed and accepted.

Subscriptions and project passes provide only the access described at checkout. Studio and suite subscription entitlements remain active only while the applicable subscription is active and paid. Access may be suspended or revoked after expiration, cancellation, chargeback, refund, fraud, or payment failure.

Before paid activation, Ignotix will publish the applicable cancellation and refund policy and provide a method to request cancellation. Unless otherwise stated at checkout or required by law, fees already earned for a completed billing period are non-refundable.

17. Third-party services

The Service may rely on third-party providers for hosting, database, authentication, storage, email, payment processing, AI, malware scanning, domain services, and other operations. Your use of third-party services may also be governed by their terms.

We are not responsible for third-party systems outside our reasonable control, but we remain responsible for our obligations under applicable law and our agreements with you.

18. Suspension and termination

You may stop using the Service at any time. You may request account closure by contacting ignotixcad@outlook.com.

We may suspend or terminate access when reasonably necessary to address security risk, unlawful activity, nonpayment, material breach, abuse, harm to other users, legal process, or discontinuation of the Service. Where appropriate, we will provide notice and an opportunity to cure.

Upon termination, your license to use the Service ends. Provisions that by their nature should survive will survive, including ownership, payment obligations, feedback license, disclaimers, limitations of liability, indemnity, dispute provisions, and record-retention obligations.

19. Availability, backups, and changes

We aim to operate the Service reliably, but uninterrupted or error-free operation is not guaranteed. Maintenance, provider outages, security events, internet conditions, browser limitations, and other causes may affect availability.

You are responsible for exporting or maintaining copies of information needed for your business. Hosted revision history and backups are operational safeguards and are not a substitute for your own records.

20. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." IGNOTIX DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS.

IGNOTIX DOES NOT WARRANT THAT AN OUTPUT WILL MATCH ACTUAL FIELD CONDITIONS, SUPPLIER QUANTITIES, PRODUCT PERFORMANCE, LABOR PERFORMANCE, PROJECT COST, CODE REQUIREMENTS, PROFESSIONAL REQUIREMENTS, OR THE USER'S INTENDED RESULT.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

21. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IGNOTIX AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR USE; COSTS OF SUBSTITUTE SERVICES; OR CLAIMS ARISING FROM ORDERING, CUTTING, FABRICATION, INSTALLATION, CONSTRUCTION, PROJECT DELAY, REWORK, OR THIRD-PARTY DEMANDS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IGNOTIX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO IGNOTIX FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.

These limitations do not apply to liability that cannot legally be limited, including liability for fraud, willful misconduct, or other non-waivable obligations.

22. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Ignotix and its owners, officers, employees, contractors, and licensors from claims, damages, losses, liabilities, and reasonable costs arising from your User Content, your project activities, your violation of these Terms, your infringement of another person's rights, or your use of an output without the verification required by these Terms.

This section does not require indemnification for a claim caused solely by Ignotix's gross negligence, willful misconduct, or violation of law.

23. Governing law and venue

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Any dispute that is not resolved informally will be brought in the state or federal courts located in New Jersey, and each party consents to personal jurisdiction and venue there.

Nothing in this section limits rights that cannot be waived under applicable consumer law.

24. Informal dispute resolution

Before filing a claim, each party will make a good-faith effort to resolve the dispute. A notice to Ignotix must be sent to ignotixcad@outlook.com and must describe the dispute and requested resolution. The parties will allow at least 30 days for informal resolution unless immediate relief is reasonably necessary.

25. Changes to these Terms

We may update these Terms. The updated version will identify a new effective date. If a change is material, we will provide reasonable notice through the Service, email, or another appropriate method. Continued use after the effective date constitutes acceptance of the updated Terms, except where law requires affirmative consent.

26. General terms

If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain effective. A waiver must be in writing and does not waive any later breach. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, financing, or transfer of the Service. These Terms, the Privacy Policy, and any applicable order terms are the entire agreement concerning the Service.
